SERVICE PROVIDER AGREEMENT

This Service Provider Agreement (the “Agreement”) is made and entered into by and between:

[Company Name], a [State] corporation with its principal place of business at [Company Address] (“Company”), and
You, the independent service provider (“Service Provider”), who has agreed to provide mobile detailing services using the Company’s platform.

BY CLICKING “AGREE” OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THIS AGREEMENT.

1. RELATIONSHIP OF PARTIES

1.1 Independent Contractor – The Service Provider is an independent contractor and not an employee, agent, or representative of the Company. Nothing in this Agreement shall be interpreted as creating an employer-employee relationship.

1.2 No Benefits – As an independent contractor, the Service Provider is not entitled to employee benefits, including health insurance, retirement benefits, or unemployment insurance.

1.3 Control and Discretion – The Service Provider retains the right to determine how detailing services are performed, provided they meet customer satisfaction and quality standards set by the Company.

2. SERVICES PROVIDED

2.1 The Service Provider agrees to provide mobile auto detailing services to customers who request such services via the Company’s platform.

2.2 The Company will act as an intermediary by connecting customers with Service Providers but does not guarantee any minimum amount of work.

3. PAYMENT AND FEES

3.1 Service Fees – The Company will collect payments from customers and remit the agreed-upon portion to the Service Provider, minus any applicable platform or transaction fees.

3.2 Payment Schedule – Payments will be disbursed [weekly/daily] via [preferred payment method].

3.3 Taxes – The Service Provider is responsible for reporting and paying all applicable taxes on earnings received through the platform.

4. REQUIREMENTS & RESPONSIBILITIES

4.1 Equipment & Supplies – The Service Provider is responsible for providing all necessary tools, cleaning materials, and transportation for the detailing services.

4.2 Insurance & Licenses – The Service Provider must maintain valid liability insurance and any licenses or permits required by local laws.

4.3 Quality Standards – Services must meet or exceed customer expectations. Repeated complaints or failure to meet quality standards may result in suspension or termination from the platform.

5. NON-EXCLUSIVITY

The Service Provider is free to perform detailing services outside the Company’s platform and may work with other businesses or customers independently.

6. TERMINATION

6.1 By Either Party – Either party may terminate this Agreement at any time with [X] days' written notice.

6.2 By the Company – The Company reserves the right to suspend or terminate the Service Provider’s access to the platform for reasons including but not limited to:

Repeated negative customer feedback
Violation of company policies
Failure to maintain proper insurance or licenses

7. LIABILITY & INDEMNIFICATION

7.1 Liability – The Service Provider acknowledges that the Company is a technology platform and is not responsible for damages arising from the Service Provider’s work.

7.2 Indemnification – The Service Provider agrees to indemnify and hold the Company harmless from any claims, damages, or losses resulting from services rendered.

8. CONFIDENTIALITY & DATA PRIVACY

8.1 The Service Provider agrees to maintain the confidentiality of customer information obtained through the platform.

8.2 The Company will handle personal data in compliance with its privacy policy.

9. DISPUTE RESOLUTION

9.1 Arbitration – Any disputes arising under this Agreement shall be resolved through binding arbitration in [Location].

9.2 Governing Law – This Agreement shall be governed by the laws of [State/Country].

10. MISCELLANEOUS

10.1 Amendments – The Company reserves the right to update this Agreement and will notify the Service Provider of significant changes.
